Subtrack Terms of Service

1. General Terms

These Terms of Service ("Agreement") govern your access to and use of the Subtrack web application, Chrome extension, dashboard, and related services and features ("Services"). Subtrack, Inc. ("Subtrack", "we", "us", or "our") provides tools for B2B SaaS spend visibility, usage analysis, and actionable cost optimization. By accessing or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy.

Subtrack is designed exclusively for business use within the United States and governed by U.S. laws. Your use of Subtrack outside of this scope is at your own risk, and you remain solely responsible for compliance with any applicable local laws.

2. Acceptance of Terms

You accept these Terms by: (a) clicking to accept or agree; (b) registering for a Subtrack account; or (c) using the Services in any manner. If you're accessing Subtrack on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree to all the terms, you must not access or use the Services.

3. Eligibility

You must be at least 18 years old and legally capable of entering a binding agreement. If using Subtrack on behalf of a business entity, you must have the authority to agree to these Terms on its behalf.

4. Subtrack Services

Subtrack offers a platform that enables companies to:

  • Connect financial accounts via integrations such as Plaid to extract recurring SaaS spend data.
  • Monitor web app usage behavior across team members using our browser extension.
  • Attribute usage to specific tools, employees, or departments.
  • Recommend actions like license reductions, tool consolidation, or subscription cancellation.

These features are designed to help organizations reduce software bloat and optimize vendor spend. Subtrack does not provide legal, financial, or investment advice.

5. User Accounts & Team Access

To access most features, you must register for a Subtrack account. Admin users may invite other team members and assign permissions. You are responsible for ensuring the accuracy and confidentiality of your credentials and those of your team. Subtrack is not liable for unauthorized access resulting from compromised credentials.

You must not:

  • Impersonate another person or company
  • Use another user's credentials
  • Allow unauthorized access to Subtrack accounts

6. Third-Party Integrations

Subtrack integrates with services such as Plaid and Stripe to retrieve and process financial or billing data. You authorize Subtrack to access your third-party account data on your behalf. Subtrack disclaims liability for any inaccuracies or outages caused by these third-party providers.

When you use Subtrack with a third-party service, their terms and privacy policies apply in addition to ours.

7. Browser Extension

The Subtrack Chrome extension is required for activity tracking. By installing it, you consent to:

  • Tracking of active tab usage across predefined SaaS domains
  • Mapping usage to organizational units (e.g., teams, roles)
  • Collecting page metadata and timestamps for usage insights

We do not collect passwords, keystrokes, or private content. You can disable or uninstall the extension at any time.

8. Data Accuracy & Recommendations

Our platform provides usage-based recommendations and cost-saving suggestions based on the data collected. While we aim for accuracy, these recommendations are informational only. Subtrack is not liable for business decisions made based on the platform's insights.

9. Billing & Payment

Subtrack offers free and paid subscription plans. Pricing and billing cycles are available at https://subtrack.xyz. All fees are non-refundable unless explicitly stated otherwise. Payments are processed by Stripe, and by subscribing you agree to Stripe's Terms of Service.

You authorize us to charge your payment method for all applicable fees. You may cancel your subscription at any time; however, cancellations do not trigger refunds unless required by law.

10. Privacy & Security

We take user privacy seriously. Please refer to our detailed Privacy Policy for how we collect, use, and secure your data. We use encryption, access controls, and monitoring to safeguard your information.

11. Intellectual Property

All Subtrack content, trademarks, logos, and software are the exclusive property of Subtrack, Inc. or its licensors. You may not copy, modify, distribute, reverse engineer, or use our IP for commercial purposes without express written consent.

12. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful or abusive purpose
  • Attempt unauthorized access or disrupt Subtrack systems
  • Resell, sublicense, or exploit Subtrack without permission
  • Introduce malware or harmful scripts

Violations may result in suspension or termination of your account and legal action.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUBTRACK IS NOT RESPONSIBLE FOR ERRORS IN DATA SOURCED FROM THIRD PARTIES.

14. Limitation of Liability

To the fullest extent permitted by law, Subtrack is not liable for indirect, incidental, or consequential damages. Our total liability under this Agreement shall not exceed the amount paid by you to Subtrack in the six months preceding the claim.

15. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate access for violations of these Terms. Upon termination, your access and license rights cease, but certain obligations (like payment, indemnity, IP protections) survive.

16. Changes to Terms

We may update these Terms from time to time. If changes are material, we will notify you. Continued use of the Services after changes take effect constitutes acceptance.

17. Governing Law & Arbitration

These Terms are governed by California law. Disputes will be resolved through binding arbitration in San Francisco, California, under AAA rules. You waive the right to class actions and jury trials.
